ZingThis AI specializes in helping businesses and professionals become discoverable, citable, and recommendable by AI platforms including ChatGPT, Google AI Overviews, Gemini, and Perplexity through the application of Answer Engine Optimization (AEO), Generative Engine Optimization (GEO), Semantic SEO, Entity SEO, structured data implementation, and AI discoverability strategy.

ZingThis AI offers the following services and products:

• Starter Audit — $97 (one-time): A comprehensive AI visibility audit covering AEO, GEO, AI visibility signals, and traditional SEO. Includes a recorded video walkthrough and written fix checklist delivered within 5 business days
• Deep Audit + Roadmap Call — $297 (one-time): Everything in the Starter Audit plus a 30-minute live implementation call with Adrienne Robinson-Clarke, priority ranking of fixes, and a recording of the call

1.1 Related Services — Separate Platforms

ZingThis AI operates separately from ZingThis LegacyLoop (zingthis.com) and ZingRally (zingrally.com), both of which are separate services operating under ZingThis, LLC. Each platform has its own dedicated Terms of Service, Privacy Policy, and legal disclosures. These Terms of Service govern only zingthis.ai services.

2. Eligibility and Account Registration

2.1 Eligibility

Our Services are intended solely for individuals and businesses who are 18 years of age or older. By accessing or using the Services, you represent and warrant that:

• You are at least 18 years of age
• You are not prohibited from accessing or using the Services under any applicable laws or regulations
• If you are purchasing Services on behalf of a business or organization, you have the legal authority to bind that entity to these Terms
• All information you provide in connection with a service purchase or audit intake is accurate and complete

2.2 Audit Intake Information

To receive an audit or consulting service, you will be required to submit an intake form providing information about your business, website, and service area. You agree to provide accurate, current, and complete information. ZingThis AI reserves the right to decline or cancel a service engagement if the information provided is inaccurate, incomplete, or if the scope of work falls outside our service capabilities.

3. Services, Payments, and Delivery

3.1 Audit and Consulting Services

Audit and consulting services are one-time engagements unless otherwise specified. Upon purchase and completion of your intake form, ZingThis AI will deliver your audit within the timeframe stated at the time of purchase (generally 5 business days for audit deliverables). The 30-minute Roadmap Call included in the Deep Audit package will be scheduled via email within 2 business days of audit delivery.

3.2 Monthly Retainer

Monthly retainer services are billed on a recurring monthly basis at the agreed custom scope and rate. Retainer scope is confirmed in writing prior to the first billing cycle. You may cancel your retainer at any time with 30 days written notice to [email protected]. No refunds are issued for the current billing period upon cancellation. Retainer services begin only after an audit has been completed.

3.3 Digital Products

Digital products (The AI Visibility Kick and The AI Authority Kit) are delivered electronically via email download link or instant access after payment confirmation. You are responsible for providing a valid email address, checking spam/junk folders, and downloading products within 30 days of purchase. ZingThis AI is not responsible for delivery failures due to incorrect email addresses, spam filters, or technical issues on your end.

3.4 License Grant for Digital Products

When you purchase a digital product from ZingThis AI, you are granted a limited, non-exclusive, non-transferable, revocable license for personal or single-business use only. You may use the templates, playbooks, checklists, and tools included in the product for your own business or for one client business you manage. You may not share, distribute, resell, sublicense, or transfer any digital product or its contents to any third party; post the product publicly on websites, social media, or file-sharing platforms; use the product as the basis of a competing product or service; or remove, alter, or obscure any copyright notices or watermarks.

3.5 Refund Policy

ALL SALES OF DIGITAL PRODUCTS ARE FINAL. Due to the nature of digital goods, no refunds, returns, or exchanges will be issued once a product has been accessed, downloaded, or delivered.

For audit and consulting services: if ZingThis AI is unable to deliver your audit within the stated timeframe due to circumstances within our control, you may request a full refund within 7 days of the missed delivery date by contacting [email protected]. Once an audit has been delivered, no refunds are issued. Monthly retainer fees are non-refundable for the current billing period upon cancellation.

Limited exceptions may be granted at ZingThis AI’s sole discretion for: duplicate charges (with proof) or technical errors preventing product delivery (reported within 72 hours). 3.6 No Guarantee of AI Platform Outcomes

ZingThis AI provides recommendations, audits, structured data implementation, and content strategy guidance designed to improve your business’s discoverability by AI platforms. However, ZingThis AI makes no guarantee that implementing our recommendations will result in your business being recommended, cited, or featured by ChatGPT, Google AI, Gemini, Perplexity, or any other AI platform. AI platforms make independent algorithmic decisions that are entirely outside ZingThis AI’s control.

4. Payment and Pricing

4.1 Pricing

All prices are stated in U.S. Dollars (USD) and are subject to change without notice. Price changes will not affect services already purchased or active retainer agreements until the next renewal period, at which point clients will be notified in writing.

4.2 Payment Processing

Payments are processed through Stripe. By making a purchase, you agree to Stripe’s terms of service and privacy policy, and you authorize ZingThis AI to charge your payment method for the selected service or product. All transactions are encrypted and processed securely.

4.3 Taxes

You are responsible for all applicable taxes, duties, and government fees related to your purchase. Prices listed do not include sales tax, VAT, or other taxes unless explicitly stated.

5. Intellectual Property Rights

“ZingThis,” “ZingThis AI,” “ZAI,” the ZingThis AI logo, and all related names, logos, product and service names, designs, and slogans are trademarks of ZingThis, LLC or its affiliates or licensors. You must not use such marks without our prior written permission.

5.3 Client Business Data

You retain full ownership of all business information, website content, and materials you provide to ZingThis AI in connection with an audit or consulting engagement. ZingThis AI uses your business data solely for the purpose of delivering the services you have purchased. We do not sell, share, or use your business data for any other purpose without your explicit consent.

5.4 Audit Deliverables

Audit reports, video walkthroughs, checklists, and written recommendations delivered to you as part of a paid service engagement are licensed to you for your own business use. You may not resell, distribute, or publish audit deliverables as your own work or as the basis of a competing consulting service.

ZingThis AI is not responsible for changes in AI platform behavior that occur after the delivery of an audit or the implementation of recommendations.

6.2 Independence from AI Platforms

ZingThis AI is entirely independent from OpenAI (ChatGPT), Google (Google AI / Gemini), Perplexity AI, Microsoft (Copilot), and all other AI platforms referenced on our website. ZingThis AI has no partnership, affiliation, or special relationship with any AI platform and cannot guarantee, influence, or control the recommendations made by any AI system. References to these platforms on our website are for descriptive and informational purposes only.

6.3 ZAI — AI Visibility Analyst Tool

ZAI is ZingThis AI’s proprietary AI-powered visibility analysis tool. ZAI is provided as a supplemental analytical resource and its outputs are not a substitute for the full professional audit conducted by Adrienne Robinson-Clarke. ZAI outputs may contain inaccuracies, limitations, or gaps. ZingThis AI does not warrant the completeness or accuracy of ZAI’s analysis. ZAI interactions may be reviewed by ZingThis AI for quality assurance and service improvement purposes.

6.4 AI Tools and Data Usage

ZingThis AI uses AI-powered tools in the delivery of our services. Data you submit through our website, contact forms, or intake questionnaires will not be used to train third-party AI models without your explicit written consent. ZingThis AI does not use client business data to develop, improve, or train generalized artificial intelligence or machine learning models.

7. Prohibited Uses

• To interfere with or circumvent security features of the Services
• To impersonate ZingThis AI, Adrienne Robinson-Clarke, or any ZingThis affiliate

Violation of this section may result in immediate termination of your service engagement without refund and legal action.

8. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES AND ALL DIGITAL PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. ZINGTHIS AI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO: IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT; WARRANTIES THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE; WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF CONTENT OR AI PLATFORM ANALYSIS; AND WARRANTIES THAT THE IMPLEMENTATION OF ANY RECOMMENDATIONS WILL RESULT IN IMPROVED AI VISIBILITY, INCREASED TRAFFIC, LEADS, OR REVENUE.

ZINGTHIS AI MAKES NO GUARANTEE THAT YOUR BUSINESS WILL BE RECOMMENDED, CITED, OR FEATURED BY CHATGPT, GOOGLE AI, GEMINI, PERPLEXITY, OR ANY OTHER AI PLATFORM AS A RESULT OF USING OUR SERVICES. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.

9. Limitation of Liability

9.1 General Limitation

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL ZINGTHIS, LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO: LOST PROFITS, REVENUE, OR BUSINESS OPPORTUNITIES; LOST DATA; LOSS OF GOODWILL; BUSINESS INTERRUPTION; OR ANY DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICES, CHANGES IN AI PLATFORM ALGORITHMS OR RECOMMENDATION LOGIC, OR THE FAILURE OF ANY AI PLATFORM TO RECOMMEND YOUR BUSINESS FOLLOWING IMPLEMENTATION OF OUR RECOMMENDATIONS.

9.2 Maximum Aggregate Liability

ZINGTHIS AI’S MAXIMUM AGGREGATE LIABILITY FOR ANY AND ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE TOTAL FEES YOU PAID TO ZINGTHIS AI IN THE THIRTY (30) DAYS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

9.3 Essential Purpose

You acknowledge that these limitations of liability are fundamental elements of the agreement between you and ZingThis AI, and that ZingThis AI would not provide the Services without these limitations. Some jurisdictions do not allow limitations on liability, so some of the above limitations may not apply to you.

10. Indemnification

You agree to indemnify, defend, and hold harmless ZingThis, LLC, its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising from or relating to:

• Your violation of these Terms of Service
• Your violation of any applicable laws, regulations, or third-party rights
• Your unauthorized use, reproduction, distribution, or resale of digital products or audit deliverables
• Any false or misleading information you provide in connection with a service engagement
• Your violation of any intellectual property rights or other rights of any third party
• Any content you submit, post, or transmit through the Services
• Your negligence, willful misconduct, or breach of these Terms

This indemnification obligation will survive termination of your service engagement. ZingThis AI reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us.

11. Dispute Resolution and Arbitration

11.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Maryland, United States, without regard to its conflict of law principles.

11.2 Mandatory Arbitration

YOU AND ZINGTHIS AI AGREE THAT ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL BE RESOLVED THROUGH BINDING ARBITRATION ON AN INDIVIDUAL BASIS, EXCEPT AS PROVIDED BELOW. Arbitration shall be conducted by a single arbitrator in accordance with the Commercial Arbitration Rules of the American Arbitration Association (AAA).

Exceptions to arbitration include: small claims court actions (if the claim qualifies), intellectual property disputes (copyright, trademark infringement), and equitable relief to prevent unauthorized use or disclosure of confidential information.

11.3 Class Action Waiver

YOU AND ZINGTHIS AI AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. YOU EXPRESSLY WAIVE YOUR RIGHT TO PARTICIPATE IN CLASS ACTION LAWSUITS, CLASS ARBITRATIONS, REPRESENTATIVE ACTIONS, OR A JURY TRIAL.

11.4 Location

Any arbitration shall take place in Garrett County, Maryland, or remotely via video conference if mutually agreed.

11.5 Costs

Each party shall bear its own costs and attorneys’ fees, unless the arbitrator awards costs and fees to the prevailing party as permitted by law.

12. Termination

12.1 Termination by You

You may cancel a monthly retainer engagement at any time by providing 30 days written notice to [email protected]. One-time audit and digital product purchases are non-cancellable once delivered. Upon cancellation of a retainer, you will retain access to all work delivered through the end of your current billing period.

12.2 Termination by ZingThis AI

We reserve the right to suspend or terminate your service engagement, with or without notice, for: violation of these Terms; suspected fraudulent, abusive, or illegal activity; non-payment of fees; provision of materially false information in an intake form; or any other reason at our sole discretion. In the event of termination for cause, no refund will be issued for fees already paid.

12.3 Effect of Termination

Upon termination, all licenses granted to you for ongoing service deliverables will immediately cease. You retain the right to use audit reports and digital products already delivered and paid for, subject to the license terms in Section 5. Sections 5, 8, 9, 10, 11, and 13 shall survive termination.

13. General Provisions

13.1 Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published by ZingThis AI, constitute the entire agreement between you and ZingThis AI concerning the Services.

13.2 Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions.

13.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. Any waiver must be in writing and signed by an authorized representative of ZingThis AI.

13.4 Assignment

You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. We may assign these Terms without restriction.

13.5 Force Majeure

ZingThis AI shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including but not limited to: acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, changes in third-party AI platform algorithms or policies, or shortages of transportation, facilities, fuel, energy, labor, or materials.

13.6 Modifications to Terms

We reserve the right to modify these Terms at any time, effective upon posting the updated Terms on our website with a new effective date. Your continued use of the Services after any changes constitutes your acceptance of the new Terms. For material changes that affect your rights, we will make reasonable efforts to notify you via email or prominent notice on our website.

• You understand that ZingThis AI makes no guarantee that your business will be recommended by any AI platform as a result of using our services
• You understand that AI platforms including ChatGPT, Google AI, Gemini, and Perplexity are independent third parties outside ZingThis AI’s control
• You agree not to resell, distribute, or use digital products or audit deliverables as the basis of a competing service
• You are solely responsible for implementing any recommended changes to your website and digital presence
